WHITEWALLET Referral Program Terms and Conditions

These Referral Program Terms and Conditions (hereinafter "Referral Terms", or "Program Terms") govern the Whitewallet Referral Program (hereinafter the "Program" or "Referral Program") made available by Clear White Solutions Limited, a company incorporated under the laws of the British Virgin Islands (hereinafter "we", "us", "our", or the "Company"), the operator of Whitewallet — a non-custodial cryptocurrency wallet application accessible at https://whitewallet.app/ (hereinafter the "Wallet" or "Whitewallet").

These Referral Terms are incorporated into and form an integral part of the Whitewallet Terms and Conditions available at https://whitewallet.app/terms-and-conditions (hereinafter the "Main Terms"). In the event of any conflict between these Referral Terms and the Main Terms, these Referral Terms shall prevail solely with respect to the subject matter of the Program. Capitalized terms not defined herein shall have the meanings ascribed to them in the Main Terms.

By participating in the Program, you unconditionally agree to be bound by these Referral Terms, the Main Terms, all applicable laws and regulations, and any additional guidelines or policies that the Company may publish from time to time in connection with the Program.

1. DEFINITIONS

For the purposes of these Referral Terms, the following definitions shall apply:

• "Referrer" means an eligible registered user of Whitewallet who participates in the Program by sharing a unique Referral Link or Referral Code with prospective users.

• "Referee" means a new user who has not previously registered for or used Whitewallet, who downloads, installs, or accesses Whitewallet via mobile applications and creates a Wallet using a valid Referral Link or Referral Code provided by a Referrer.

• "Referral Link" / "Referral Code" means the unique, personalized hyperlink or alphanumeric code generated by the Company and assigned to each Referrer for use in the Program.

• "Swap" means a peer-to-peer exchange or conversion of one supported Digital Asset into another, executed through the in-app swap functionality of Whitewallet.

• "Swap Fee" means the fee charged by the Company in connection with a Swap transaction, as displayed within the Whitewallet Application at the time of execution.

• "Referral Reward" means the compensation payable to a Referrer under the Program, calculated as a percentage of Swap Fees generated by their Referee Network, as further described in Section 4.

• "Referee Discount" means the reduction in Swap Fees available to an eligible Referee following successful registration through a Referral Link or Referral Code, as further described in Section 3.

• "Referee Network" means the multi-level structure of users connected to a Referrer through the Program, comprising: (i) Level 1 Referees — users directly referred by the Referrer; (ii) Level 2 Referees — users referred by Level 1 Referees; and (iii) Level 3 Referees — users referred by Level 2 Referees.

• "Reward Currency" means USDC / Bridged USDC distributed on the Whitechain blockchain network (or such other blockchain as the Company may designate from time to time), in which Referral Rewards are denominated and paid.

• "Partner" means a third party that has entered into a separate commercial arrangement with the Company entitling it to enhanced referral terms, including but not limited to higher Referee Discount rates.

• "Qualified Swap" means a Swap transaction completed by an eligible Referee that generates a Swap Fee and qualifies for inclusion in the Referral Reward calculation, as determined by the Company in its sole discretion.

• "Program Period" means the period during which the Program is active, commencing on the Effective Date and continuing until terminated in accordance with Section 10.

2. ELIGIBILITY

2.1. To participate in the Program as a Referrer, you must:

• be at least eighteen (18) years of age;

• be a registered user of Whitewallet with an active Wallet;

• not be subject to any suspension, restriction, or termination of your Whitewallet account;

• reside and be located in a jurisdiction in which participation in the Program is not prohibited by applicable law;

• have executed swaps within Whitewallet;

• comply with Main Terms, all applicable laws and regulations, including but not limited to those relating to anti-money laundering, counter-terrorist financing, sanctions, and data protection.

2.2. To receive the Referee Discount, a Referee must:

• be a new user who has not previously held or registered a Whitewallet account;

• register for Whitewallet using a valid and unmodified Referral Link or Referral Code;

• satisfy all eligibility criteria set out in the Main Terms, including age and jurisdiction requirements;

• not be the same individual as the Referrer, or be acting in concert with the Referrer to artificially generate Referral Rewards;

• complete registration and create a valid Wallet within the timeframe specified by the Company.

2.3 Partners are subject to enhanced eligibility criteria and obligations as agreed upon in separate Partner Agreements. Partners must comply with both these Referral Terms and their individual terms, specified in the separate Partner Agreements, where applicable. In the event of conflict, the specific Partner Agreement shall prevail as between the Company and the relevant Partner.

3. REFEREE DISCOUNT

3.1. Upon successful registration through a valid Referral Link or Referral Code, an eligible Referee shall receive a discount on Swap Fees (the "Referee Discount"). The Referee Discount is applied automatically to Swap transactions executed by the Referee through the Whitewallet Application.

3.2. The applicable Referee Discount rate may vary depending on the following factors:

• the identity and classification of the Referrer (i.e., whether the Referrer is a standard user or a Partner);

• any promotional campaigns active at the time of registration.

Partners are entitled to offer their Referees an enhanced Referee Discount pursuant to the terms of their individual Partner agreement. The Company does not guarantee any specific minimum discount rate.

3.3. The Referee Discount shall apply for the duration determined by the Company. The Company reserves the right to modify or discontinue the Referee Discount at any time upon reasonable notice. The Referee Discount:

• is personal to the Referee and non-transferable;

• applies only to Swap Fees and not to any other fees, charges, or costs that may be associated with the use of the Wallet or third-party services;

• cannot be combined with other promotional offers, coupons, or discounts unless expressly stated;

• may be subject to minimum transaction thresholds as communicated in the Application.

4. REFERRAL REWARDS

4.1. The Program operates on a three-level referral reward structure. Subject to the terms and conditions herein, a Referrer is entitled to receive Referral Rewards calculated as a percentage of Swap Fees generated by their Referee Network, across the following levels:

The Company reserves the right to modify, amend, or update these Reward Levels and Reward Rates at any time at its sole discretion, with any such changes becoming effective upon publication of the updated Referral Terms.

4.2 Referral Rewards shall be distributed as follows:

• Rewards are calculated on a monthly basis, with respect to each completed Reward Period.

• Payment shall be made in USDC on the Whitechain blockchain network. The Company reserves the right to change the Reward Currency or the distribution blockchain upon thirty (30) days' prior written notice to Referrers, including via an in-app notification.

• Rewards shall be credited to the Referrer's Whitewallet address linked to their Referrer account no later than 10 business days following the end of each Reward Period.

• A minimum threshold of 5 USDC may apply before rewards are distributed. Rewards below this threshold will be carried over to the following Reward Period.

• The Company shall not be liable for delays in distribution attributable to blockchain network congestion, technical issues outside the Company's control, or force majeure events.

4.3. Referral Rewards may constitute taxable income in the Referrer's jurisdiction. The Referrer is solely responsible for determining, reporting, and remitting any applicable taxes arising from the receipt of Referral Rewards. The Company does not provide tax advice and shall not be liable for any tax obligations of the Referrer. The Company may be required by applicable law to withhold or report certain payments and will do so in accordance with its legal obligations.

5. HOW TO PARTICIPATE

5.1. Eligible Referrers may obtain their unique Referral Link or Referral Code by accessing the referral section within the Whitewallet Application. Each Referral Link is unique to the Referrer and must not be altered, modified, or used in a manner that obscures its origin.

5.2. Referrers may share their Referral Link through lawful channels, including, but not limited to, personal messaging, social media platforms, websites, or blogs. When sharing the Referral Link, Referrers must:

• comply with all applicable laws and platform terms of service;

• not engage in unsolicited messaging, spam, or any form of mass electronic communication;

• not make false, misleading, or exaggerated statements about the Program, the Wallet, or the Company;

• clearly identify the communication as a personal referral and not as official advertising by the Company;

• not offer any additional inducement, payment, or benefit in connection with the Referral Link unless expressly authorized by the Company.

5.3. To qualify for the Referee Discount, a Referee must: (i) download and install the Application via a valid Referral Link (where applicable); (ii) ensure that the Referral Code is properly applied during the registration process (noting that due to technical limitations of third-party app stores, the code may not always auto-populate upon launching the app, in which case the Referee must either enter the Referral Code manually or re-click the Referral Link prior to wallet creation); (iii) complete the creation of a valid Whitewallet Wallet; and (iv) satisfy any additional activation requirements communicated within the Application. A Referral will only be recorded at the time of Wallet creation; retrospective attribution of referrals shall not be permitted.

6. PROHIBITED CONDUCT AND ANTI-FRAUD POLICY

6.1. The following conduct is strictly prohibited and shall result in immediate disqualification from the Program, cancellation of outstanding Referral Rewards, and may result in termination of the Whitewallet account and legal action:

• creating fictitious, duplicate, or synthetic Referee accounts, including through the use of bots, scripts, or automated tools;

• self-referral, i.e., a Referrer using their own Referral Link to register a new account, whether directly or indirectly;

• purchasing, selling, or transferring Referral Links or Referral Codes for value;

• making representations about the Program that are false, misleading, or deceptive, including representations about the quantum or nature of Referral Rewards;

• circumventing, tampering with, or attempting to manipulate the tracking systems or reward calculation mechanisms of the Program;

• using the Program in connection with money laundering, terrorist financing, market manipulation, or any other illegal activity;

• participating in the Program from a restricted jurisdiction or on behalf of a person who is ineligible to participate;

• any other conduct that the Company, acting reasonably, determines to be fraudulent, abusive, or inconsistent with the spirit of the Program.

6.2. The Company reserves the right to withhold, reverse, or cancel Referral Rewards that are determined, in its sole but reasonable discretion, to have been earned through prohibited conduct. The Company shall have no liability to the Referrer in respect of any such withholding, reversal, or cancellation.

7. INTELLECTUAL PROPERTY

7.1. All intellectual property rights in and to the Program, including the Referral Links, promotional materials, trademarks, logos, and the Whitewallet brand, are and shall remain the exclusive property of the Company. Participation in the Program does not grant the Referrer any license to use the Company's intellectual property, except as expressly and specifically authorized in writing by the Company.

7.2. Referrers must not use the Company's name, logo, or trademarks in any advertising, endorsement, social media account name, or domain name without the prior written consent of the Company. Unauthorized use of the Company's intellectual property may result in disqualification from the Program and legal action.

8. MODIFICATIONS TO THE PROGRAM

8.1. The Company reserves the right to amend, suspend, or terminate the Program or any aspect thereof at any time, including but not limited to:

• the Referee Discount rates;

• the Referral Reward percentages at any or all levels;

• the Reward Currency and distribution blockchain;

• the eligibility criteria for Referrers and Referees;

• the Reward Period and payment schedule;

• the list of Qualified Swaps; and

• any other terms and conditions of the Program.

8.2. Where practicable, the Company will provide at least five (5) days' notice of material changes to the Program via the Whitewallet Application or the Company's official communications channels. Your continued participation in the Program following notification of any changes shall constitute your acceptance of the amended terms. If you do not accept the changes, you must cease participating in the Program and may request deletion of your referral data by contacting the Company.

9. TERMINATION

9.1. The Company may suspend or terminate a Referrer's participation in the Program immediately and without prior notice in the following circumstances:

• the Referrer breaches these Referral Terms or the Main Terms;

• the Company suspects fraudulent, abusive, or illegal activity by the Referrer;

• the Referrer's Whitewallet account is suspended or terminated for any reason;

• the Referrer is no longer eligible to participate in the Program due to a change in applicable law or the Company's policies; or

• the Program is discontinued.

9.2. Upon termination, any accrued and unpaid Referral Rewards for Qualified Swaps completed prior to the effective date of termination shall be paid to the Referrer, unless the termination was caused by the Referrer's fraudulent or prohibited conduct, in which case all outstanding rewards shall be forfeited.

9.3. A Referrer may withdraw from the Program at any time by notifying the Company in writing at support@whitewallet.app. Upon withdrawal, the Referrer's Referral Link will be deactivated and no further Referral Rewards shall accrue. Referral Rewards accrued up to the date of withdrawal for Qualified Swaps already completed shall remain payable in accordance with the standard payment schedule.

10. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

10.1. THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM THIRD-PARTY INTERFERENCE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY TO A REFERRER IN CONNECTION WITH THE PROGRAM SHALL NOT EXCEED THE AGGREGATE REFERRAL REWARDS PAID TO THAT REFERRER IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2. Digital assets, including the Reward Currency, are subject to significant price volatility. The Company does not guarantee any particular value of Referral Rewards at the time of payment or thereafter. The Referrer assumes all market risk associated with holding or converting Referral Rewards.
